Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using Aphor Subconscious Studio ("the Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue use of the Service.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you via email or through a prominent notice on the Service. Your continued use of the Service after any modifications constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Responsibilities

When you create an account with Aphor Subconscious Studio, you agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information to keep it accurate and complete
Maintain the security and confidentiality of your login credentials and not share them with any third party
Accept responsibility for all activities that occur under your account, whether or not you have authorized them
Notify us immediately at legal@aphor.me if you suspect any unauthorized access to or use of your account

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, misleading, or incomplete, or if we reasonably believe your account has been compromised.

4. Digital Products and Memberships

Aphor Subconscious Studio offers digital products including but not limited to guided hypnotherapy sessions, meditation audio files, downloadable workbooks, online courses, and membership subscriptions. All digital products are delivered electronically and are intended for personal, non-commercial use only.

Membership subscriptions provide access to designated content for the duration of your active subscription. Specific features and content available to members may change over time, and we reserve the right to modify membership benefits with reasonable notice.

You may not redistribute, resell, share, publicly perform, copy, or make publicly available any digital products purchased or accessed through the Service without prior written consent from Aphor Subconscious Studio.

5. Payments and Billing

All payments are processed securely through Stripe. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge it for any purchases or subscription fees.

Subscription fees are billed in advance on a recurring basis according to your chosen plan (monthly or annual). You authorize Stripe to charge your payment method automatically at each renewal unless you cancel before the next billing date. All fees are stated in U.S. dollars unless otherwise indicated. Prices are subject to change with at least 30 days' notice prior to your next billing cycle.

6. Refund Policy

Membership Subscriptions: Membership subscriptions may be cancelled at any time through your account settings or by contacting billing@aphor.me. Upon cancellation, you will retain access to membership content until the end of your current billing period. No partial refunds or credits are provided for unused portions of a billing period.

One-Time Course Purchases: We offer a 14-day refund window from the date of purchase, provided that no more than 30% of the course content has been accessed or downloaded. Once you have accessed more than 30% of the course material, the purchase is considered final.

Individual Session Purchases: Due to the nature of digital audio content, individual session purchases are non-refundable once delivered. If you experience technical issues preventing access to a purchased session, contact billing@aphor.me and we will work to resolve the issue or provide a credit.

All refund requests should be directed to billing@aphor.me with your order details. Approved refunds will be processed to the original payment method within 5-10 business days.

7. Intellectual Property

All content on Aphor Subconscious Studio — including audio recordings, written scripts, course materials, practitioner likenesses, branding, trademarks, logos, and website design — is the intellectual property of Aphor Subconscious Studio and is protected by applicable copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the content for personal purposes in accordance with your membership or purchase. This license does not include the right to modify, reproduce, distribute, publicly display, publicly perform, create derivative works from, or commercially exploit any content without our prior written consent.

8. User-Generated Content

If you submit any content to the Service — including reviews, testimonials, comments, or feedback — you grant Aphor Subconscious Studio a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, distribute, and display such content in connection with the Service and our marketing materials.

You represent and warrant that you own or have the necessary rights to submit such content and that it does not infringe upon the intellectual property or other rights of any third party. We reserve the right to remove any user-generated content at our sole discretion.

9. Prohibited Uses

You agree not to use the Service to:

Violate any applicable local, state, national, or international law or regulation
Infringe upon or violate the intellectual property rights or privacy rights of others
Share, distribute, or publicly perform any content from the Service without authorization
Record, capture, or redistribute audio or video sessions during playback
Attempt to circumvent, disable, or interfere with any security features or access controls of the Service
Use automated scripts, bots, or other means to access the Service or extract content
Impersonate any person or entity or misrepresent your affiliation with a person or entity
Transmit any malicious code, viruses, or other harmful technology

10. Disclaimer of Warranties

The content provided by Aphor Subconscious Studio is for educational and wellness purposes only. It is not intended to diagnose, treat, cure, or prevent any medical or psychological condition. Our sessions are not a substitute for professional medical advice, diagnosis, or treatment. Please review our full Therapeutic Disclaimer for more information.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Aphor Subconscious Studio does not guarantee that the Service will be uninterrupted, secure, or error-free, nor does it guarantee specific outcomes or results from using the Service.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Aphor Subconscious Studio, its owners, officers, employees, contractors, practitioners, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of or inability to use the Service, including but not limited to loss of profits, data, goodwill, or other intangible losses, regardless of whether such damages were foreseeable.

In no event shall Aphor Subconscious Studio's total aggregate liability to you for all claims arising from or related to the Service exceed the greater of (a) the total amount you have paid to Aphor Subconscious Studio in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00).

12. Indemnification

You agree to indemnify, defend, and hold harmless Aphor Subconscious Studio, its owners, officers, employees, contractors, practitioners, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content you submit to the Service.

13. Dispute Resolution and Arbitration

Informal Resolution: Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@aphor.me and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If the dispute cannot be resolved informally, you and Aphor Subconscious Studio agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in the United States, and judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration against Aphor Subconscious Studio.

Exceptions: Either party may bring claims in small claims court if the claim qualifies. Either party may seek injunctive relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including but not limited to cases where we reasonably believe you have violated these Terms. Upon termination:

Your right to access and use the Service will immediately cease
We may delete your account and associated data, subject to our data retention obligations described in our Privacy Policy
Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7, 10, 11, 12, 13, and 15

You may terminate your account at any time by contacting us at legal@aphor.me. Termination does not entitle you to a refund of any previously paid fees except as expressly provided in Section 6.

15. Third-Party Links

The Service may contain links to third-party websites, resources, or services that are not owned or controlled by Aphor Subconscious Studio. We are not responsible for the content, privacy practices, or availability of any third-party sites. The inclusion of any link does not imply endorsement by Aphor Subconscious Studio. You access third-party sites at your own risk.

16. Electronic Communications

By creating an account or making a purchase, you consent to receive electronic communications from us, including transactional emails (order confirmations, receipts, account notifications) and, where you have opted in, marketing communications. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

17. Force Majeure

Aphor Subconscious Studio shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemic, internet or telecommunications failures, power outages, cyberattacks, or other force majeure events.

18. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and Therapeutic Disclaimer, constitute the entire agreement between you and Aphor Subconscious Studio regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals.

Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Waiver: The failure of Aphor Subconscious Studio to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be made in writing and signed by an authorized representative.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Survival: Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and any other provisions that by their nature should survive termination shall continue in full force and effect after termination of these Terms.
